Agreement to Terms

By engaging Cursor LLC for front-end development, UI engineering, design, or related services, you agree to be bound by these terms and conditions. Please read them carefully before proceeding with any project engagement.

Services Provided

Cursor LLC is a creative studio providing professional services including but not limited to:

• Front-end development and engineering
• UI/UX design and interaction design
• Modern web application development
• Component libraries and design systems
• Progressive web apps and mobile-optimized experiences
• Performance optimization and technical refinement
• Technical consulting and UI engineering advisory

Project Engagement

Each project will be governed by:

• A detailed scope of work document
• Agreed-upon timeline and milestones
• Clear payment terms and schedule
• Defined deliverables and acceptance criteria
• Communication protocols and points of contact

Payment Terms

Standard payment terms include:

• Initial deposit required before project commencement
• Milestone-based payments as outlined in project agreement
• Final payment due upon project completion
• Invoices payable within 15 days of receipt
• Late payments may incur additional fees

Intellectual Property

Ownership and usage rights are structured as follows:

• Upon full payment, clients receive full rights to custom deliverables
• Cursor LLC retains rights to proprietary tools and frameworks
• Third-party assets are subject to their respective licenses
• Cursor LLC may showcase completed work in portfolio (with client approval)

Client Responsibilities

Clients are responsible for:

• Providing timely feedback and approvals
• Supplying necessary content, assets, and access
• Designating authorized decision-makers
• Meeting payment obligations on schedule
• Communicating changes or concerns promptly

Project Changes & Scope

Changes to the agreed-upon scope of work may result in adjusted timelines and costs. We will provide written estimates for any significant changes before proceeding. Minor revisions within reason are included as part of our standard service.

Confidentiality

Both parties agree to maintain confidentiality of sensitive information shared during the course of the engagement. This includes business strategies, proprietary data, and any information marked as confidential. Each client operates within their own dedicated Supabase environment, ensuring complete data isolation.

Warranties & Limitations

We warrant that:

• Services will be performed professionally and competently
• Deliverables will meet agreed-upon specifications
• We have the right to provide the services offered
• Bug fixes and corrections included for 30 days post-launch

However, we cannot guarantee specific business outcomes or user metrics, as these depend on numerous external factors beyond the technical implementation.

Termination

Either party may terminate the agreement with written notice. Upon termination, the client is responsible for payment of all work completed to date. Cursor LLC will provide all completed deliverables and transfer relevant files and access.

Limitation of Liability

Cursor LLC's liability is limited to the amount paid for services rendered. We are not liable for indirect, incidental, or consequential damages. This limitation applies to all causes of action, including breach of contract, breach of warranty, or negligence.

Governing Law

These terms are governed by the laws of the jurisdiction in which Cursor LLC operates. Any disputes will be resolved through good faith negotiation or, if necessary, binding arbitration.
